Overview: Xu Fengya graduated from Nanjing University with a bachelor's degree in law and a master's degree in international business law from Birmingham University in England. In 2006, obtained the qualification certificate of senior foreign language interpreter in Jiangsu province. She was a partner of Jiangsu Manxiu law firm and director of Jiangyin branch. In 2018, she was named the advanced lawyer of Jiangyin City. It is the training object of famous lawyers in Wuxi's "Taihu Lake Talents" program. She is a member of the Jiangsu Provincial Lawyers Association's Hong Kong, Macao and Taiwan Affairs Committee.She is a lawyer from the Ministry of Justice's national pool of 1,000 foreign lawyers.

1. Provided legal services for foreign-related negotiations for SAIC Group's acquisition of Wuxi Auto Body Co., Ltd., a subsidiary of Nanqi Group (i.e., "Nanqi Xinyatu"), issue legal opinions, participate in acquisition negotiations, and deal with sky-high debts with South African customers.

2. Responsible for over 180 shareholders of Wuxi Yiduo Investment and Development Group Co., Ltd. involved in huge disputes such as repurchase and equity transfer. After more than one year of negotiation, litigation and arbitration, the transaction structure and relevant legal documents were designed according to the specific circumstances of the case, which finally enabled the case to be successfully resolved and saved the company from the brink of imminent danger.

3. Be responsible for all the equity reforms and design documents of the predecessor of Jinyang New Energy Group Co., Ltd. and participate in Duolun negotiations on acquisition and profit distribution among shareholders, thus facilitating the successful completion of the transaction.

4. Participated in the negotiation between more than 200 owners and developers of a real estate of Wuxi Xinghai Real Estate Development Co., Ltd. in the whole process, and successfully resolved the dispute through more than half a year's coordination and arbitration.

5. Participated in the joint venture negotiation between Riel Bamboo Wind and Tianqi Logistics Company, and design mutually acceptable cooperation terms on technology shares, equity incentives, and sharing of technological achievements, which will prevent disputes in the future to the greatest extent, and have received unanimous favorable comments.

6. Provided legal services on the transaction structure for the Chart Energy& Chemicals，Inc。(US) acquisition of Wuxi Zhongbo Heat Exchanger Co., Ltd. As a lawyer of the acquired party, I assist in due diligence, participate in negotiations on the equity acquisition model, the establishment of a new company, the lease of plant and land, the customization of plant, the salary model of senior managers and incentive measures, etc., and draft and revise the legal text of the equity acquisition..

7. Responsible for the whole process of Wuxi Xingda Foam New Material Co., Ltd. high polymerization of styrene marine insurance cases. Participate in and be responsible for the whole process of material declaration, investigation, joint inspection, negotiation in each stage, drafting agreement in each stage, etc. Finally, relying on professional ability, the customer successfully resolved a chemical crisis and received full compensation of 13 million yuan.

8. Responsible for the financing of a pharmaceutical technology co., ltd. through many rounds of negotiations and ingenious structural design, it perfectly balanced the approval of more than 10 highly respected shareholders in the investment community and finally reached over 80 million investment agreements, making the company smoothly enter the sprint stage of listing on the main board.

9. Acting for many negotiations and arbitrations in English. Among them, the acting trade dispute between Wuxi Fangsheng Heat Exchanger Co., Ltd. and Italian CIE Co., Ltd. won the case through more than 100 pages of agency words and five rounds of fierce and anxious exchanges, and was highly affirmed by the parties.

10. Represented Wuxi Piaoye Rubber and Plastic Co., Ltd. in its long-term negotiation with the American car mat buyer. After six months of negotiations, the two sides have promoted long-term strategic work, provided all-round legal protection for the parties and safeguarded all legal rights and interests of the parties.
